The binding legal agreement between you and Nura Mustapha Technologies Limited governing your access to and use of the SwiftPOS retail management platform.
Terms of Service
Last Updated: 23 July 2026 — Version 2.0Please read these Terms of Service carefully before registering an account or using the SwiftPOS platform. By creating an account, accessing the application, or subscribing to any plan, you (“Merchant”, “you”, “your”) agree to be legally bound by these Terms. If you do not agree, you must not access or use SwiftPOS.
1 Definitions
In these Terms, the following expressions have the meanings set out below:
- “SwiftPOS” / “the Platform” means the cloud-based Point of Sale and retail management software accessible at app.swiftpos.ng and any associated mobile applications.
- “Company” / “we” / “us” means Nura Mustapha Technologies Limited (RC 9679645), the legal entity that owns and operates SwiftPOS.
- “Merchant” / “you” means any individual or legal entity that registers a SwiftPOS account on behalf of a retail business.
- “Tenant Environment” means the isolated company workspace assigned to a Merchant, identified by a unique
company_slugURL identifier. - “Staff User” means a cashier, manager, or administrator account created by a Merchant within their Tenant Environment.
- “Subscription” means a paid or free-trial licence to access SwiftPOS features under a selected Plan Tier.
- “Plan Tier” means one of the Starter, Standard, or Pro subscription tiers, each with defined feature limits and pricing.
- “Transaction” means any sales order, refund, void, credit sale, or payment event processed through the SwiftPOS POS interface.
- “Merchant Data” means all data inputted by or generated on behalf of a Merchant through their use of the Platform, including inventory records, transaction logs, customer data, and financial reports.
- “Confidential Information” means any non-public information disclosed by one party to the other that is designated as confidential or reasonably ought to be understood as confidential.
2 Acceptance of Terms
By completing the registration process on SwiftPOS or by accessing any part of the Platform, you confirm that:
- You are at least 18 years of age and have the legal capacity to enter into a binding contract;
- You are an authorized representative of the business entity being registered, with the authority to bind that entity to these Terms;
- All registration information you have provided is accurate, complete, and up to date;
- You have read, understood, and agreed to these Terms of Service and our Privacy Policy.
If you are registering on behalf of a company, partnership, or other legal entity, “you” and “your” in these Terms refers to that entity, and you personally represent and warrant that you have the authority to bind it.
3 Account Registration & Tenant Administration
3.1 Company Slug & Tenant Isolation
Upon registration, you will select a unique company_slug that forms the URL identifier for your Tenant Environment (e.g., app.swiftpos.ng/your-business-name/). This slug is permanent and cannot be changed after account creation. You are responsible for keeping your slug confidential, as it forms the access path for your tenant.
3.2 Account Security
You are solely responsible for:
- Maintaining the confidentiality of your administrator account credentials;
- All activities that occur under your account or within your Tenant Environment;
- Ensuring all Staff Users comply with these Terms;
- Immediately notifying us of any unauthorized access to your account at contact@swiftpos.ng.
3.3 Staff User Management
Merchants may create Staff User accounts with designated roles (Administrator, Manager, Cashier, or custom roles with specific capability sets). Each Staff User is bound by these Terms through the Merchant’s acceptance. The Merchant is responsible for:
- Configuring appropriate role-level permissions for each Staff User;
- Distributing and managing cashier transaction PINs securely;
- Deactivating or removing Staff User accounts promptly upon termination of employment;
- All actions taken by Staff Users within the Tenant Environment, including unauthorized discounts, stock adjustments, or transaction voids.
3.4 Account Accuracy
You agree to provide accurate, current, and complete information when registering and to update such information promptly if it changes. SwiftPOS reserves the right to suspend or terminate accounts where materially false or misleading information has been provided.
4 Subscription Plans & Feature Limits
SwiftPOS offers tiered subscription plans with defined feature limits enforced at the application level:

Feature limits are enforced programmatically. Exceeding a plan limit (e.g., attempting to process more than the daily order cap) will prompt an upgrade notice. We reserve the right to modify plan features and pricing with at least 30 days’ advance written notice to existing subscribers.
5 Billing & Payment Terms
5.1 Subscription Billing
Subscriptions are billed on a monthly or annual cycle, as selected during checkout. Payment is processed through Monnify (Moniepoint MFB). All prices are displayed and charged in Nigerian Naira (₦).
5.2 Annual Billing Discount
Merchants who opt for annual billing receive a discount equivalent to one (1) month free (i.e., 10 months billed, 12 months access). Annual subscriptions are non-refundable once activated, except as set out in Section 5.5.
5.3 Payment Failure & Grace Period
If a recurring payment fails, your account will enter a 7-day grace period during which the platform remains fully accessible. If payment is not received within the grace period:
- Your account will be downgraded to a read-only state, allowing you to view historical data but not process new transactions;
- After a further 30 days of non-payment, your account may be deactivated and your Merchant Data scheduled for deletion in accordance with our data retention policy.
We will send email reminders at days 1, 3, 5, 7, and 14 following a failed payment.
5.4 Plan Upgrades & Downgrades
You may upgrade your plan at any time; the upgraded features will be available immediately upon successful payment. Plan downgrades take effect at the end of the current billing cycle. Data or features exceeding the limits of the lower-tier plan will become inaccessible (but not deleted) until the plan is upgraded again.
5.5 Refund Policy
We offer a 7-day money-back guarantee for first-time subscribers on monthly plans who are dissatisfied with the platform after their free trial converts to a paid subscription. To request a refund, contact contact@swiftpos.ng within 7 days of the first charge. Refunds are not available for renewal payments, annual plans, or accounts found to have violated these Terms.
5.6 Taxes
All subscription fees are exclusive of applicable taxes. You are responsible for any sales tax, VAT (Value Added Tax at 7.5% as applicable under Nigerian law), or other taxes arising from your subscription.
6 Free Trial
SwiftPOS offers a 14-day free trial for all new Merchant accounts. During the trial period:
- No payment information is required to start the trial;
- Trial accounts are limited to Pro plan feature access to allow full evaluation;
- At the end of the 14-day period, the account will prompt you to select a paid plan. If no plan is selected, the account will be suspended;
- Data entered during the trial period is preserved if you subsequently subscribe;
- SwiftPOS reserves the right to modify, extend, or discontinue the free trial offer at any time.
7 Cancellation & Account Termination
7.1 Cancellation by Merchant
You may cancel your subscription at any time through your account dashboard or by contacting support. Cancellation takes effect at the end of the current billing period. You will retain access until that date. No partial refunds are provided for the unused portion of a billing cycle except as set out in Section 5.5.
7.2 Termination by SwiftPOS
We reserve the right to suspend or permanently terminate your account, with or without prior notice, if:
- You materially breach these Terms and fail to remedy the breach within 14 days of written notice;
- We have reasonable grounds to believe you are using the Platform for illegal, fraudulent, or harmful purposes;
- You provide false registration information;
- Your account remains unpaid beyond the grace and deactivation periods;
- Continued operation of your account poses a security risk to the Platform or other Merchants.
7.3 Effect of Termination
Upon termination or expiry of your subscription:
- Your access to the Platform and all Staff User accounts will be disabled;
- You may request a data export within 30 days of termination in CSV format;
- After 90 days post-termination, all Merchant Data will be permanently deleted from our active systems unless a legal hold applies;
- Provisions of these Terms that by their nature should survive (including Sections 13, 14, 16, 17, and 19) will continue to apply after termination.
8 Permitted Use of the Platform
Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access and use SwiftPOS solely for your own legitimate retail business operations within the Federal Republic of Nigeria, subject to these Terms.
Permitted uses include:
- Processing retail sales transactions through the SwiftPOS POS interfaces;
- Managing your product catalog, inventory levels, and supplier records;
- Creating and managing Staff User accounts for your own employees;
- Generating and exporting business reports for your own financial records;
- Using the AI Business Assistant within the daily rate limits applicable to your plan;
- Accessing multi-branch inventory management features under the Pro plan.
9 Prohibited Conduct
You must not, and must ensure your Staff Users do not:
- Attempt to access, read, or modify the Tenant Environment, data, or accounts of any other Merchant;
- Circumvent, disable, or interfere with the multi-tenant isolation architecture, authentication systems, or role-based access controls;
- Reverse engineer, decompile, disassemble, or attempt to extract the source code of the SwiftPOS Platform;
- Create fraudulent transaction records, manipulate offline sync mechanisms to duplicate sales, or falsify inventory adjustments;
- Use automated scripts, bots, or crawlers to access the Platform in any unauthorized manner;
- Exceed the feature limits of your Plan Tier through technical means or workarounds;
- Resell, sublicense, or transfer access to the Platform to any third party without our express written consent;
- Use the Platform for any purpose that violates applicable Nigerian law, including the Cybercrime (Prohibition, Prevention, etc.) Act 2015, the Federal Competition and Consumer Protection Act (FCCPA), and any applicable tax or financial regulations;
- Upload or introduce malicious code, viruses, or destructive data to the Platform;
- Conduct any activity that places a disproportionate or unreasonable load on our infrastructure;
- Use the AI Business Assistant to generate, distribute, or act on advice that is knowingly false, defamatory, or harmful to third parties.
10 Offline Mode & Service Worker Usage
SwiftPOS includes an offline-first PWA architecture designed to ensure business continuity during network outages. By using the offline features, you acknowledge and agree to the following:
- Transactions processed offline are cached locally on the cashier’s device using Service Workers and IndexedDB. These transactions will not appear in cloud reports until synchronization is complete;
- Each offline transaction is assigned a unique
client_idUUID to prevent duplication upon sync. You must not manually interfere with browser storage to alter these identifiers; - You are responsible for ensuring that cashier devices connect to the internet at regular intervals to trigger automatic synchronization;
- SwiftPOS is not liable for the loss of offline transaction data caused by: device hardware failure, battery depletion before sync, intentional or accidental clearing of browser data, application cache invalidation, or device replacement without prior sync;
- The offline mode is a supplementary feature. SwiftPOS makes no guarantee that offline functionality will be available on all browsers, operating systems, or device types.
11 AI Business Assistant Terms
The SwiftPOS AI Business Assistant is available on Standard and Pro plans, subject to daily rate limits. By using the AI Assistant, you agree that:
- Rate Limits: Daily prompt usage is limited by plan tier and tracked via token usage logs. Exceeding daily limits will disable the Assistant until the next usage reset cycle;
- Data Queried: The Assistant has read access to your Merchant Data (inventory, sales, financial records) to fulfil requests. It operates solely within your Tenant Environment and cannot access data from other Merchants;
- AI-Generated Outputs Are Advisory: All AI-generated outputs — including purchase order drafts, stock forecasts, profit summaries, and supplier recommendations — are advisory in nature. They must be reviewed, verified, and approved by an authorized human manager before any action is taken;
- No Liability for AI Actions: SwiftPOS is not responsible for any business loss, overstocking, understocking, financial error, or operational decision made based on AI assistant outputs, whether reviewed or not;
- No Sensitive Data in Prompts: You must not submit personally sensitive data (such as National Identification Numbers, bank account credentials, or third-party financial data) into AI assistant prompts;
- Model Accuracy: The AI assistant uses large language models that may occasionally produce inaccurate, outdated, or incomplete responses. Always verify material financial or operational outputs against your actual SwiftPOS records.
12 Multi-Branch Features (Pro Plan)
Pro plan subscribers who utilize multi-branch inventory management acknowledge the following:
- Each branch operates with a shared global product catalog under a single Merchant tenant, with branch-specific stock levels;
- Inter-branch stock transfers reduce inventory at the source branch and increase it at the destination branch. These transfers are final and recorded in the audit log;
- Merchants are responsible for physically verifying stock counts at each branch location. SwiftPOS reports reflect system-recorded quantities only, not physical counts;
- In the event of sync delays or connectivity interruptions at a branch, discrepancies between reported and physical stock are the responsibility of the Merchant to investigate and reconcile.
13 Data Ownership & Portability
You own your Merchant Data. SwiftPOS does not claim any intellectual property rights over your inventory records, transaction data, customer records, or business reports. We process your data as a service provider under the terms of our Privacy Policy.
You may export your Merchant Data at any time through the SwiftPOS Export Center in CSV format. Exportable data includes:
- Complete product catalog with pricing and stock levels;
- Sales transaction history with full line-item detail;
- Customer records and credit histories;
- Purchase order and supplier records;
- Profit and loss summary reports;
- Staff activity and audit log extracts (Pro plan).
We grant you a licence to use your Merchant Data for any lawful business purpose. We process it solely to deliver the SwiftPOS service and as described in our Privacy Policy.
14 Intellectual Property
The SwiftPOS Platform, including its software, source code, algorithms, user interface designs, brand assets, logos, documentation, and all related intellectual property, is the exclusive property of Nura Mustapha Technologies Limited and is protected under applicable Nigerian intellectual property laws and international treaties.
You are granted no rights in the SwiftPOS software or brand other than the limited licence to use the Platform as described in Section 8. You may not:
- Copy, reproduce, or create derivative works based on SwiftPOS software;
- Use the SwiftPOS name, logo, or brand in any marketing material without our prior written consent;
- Remove or alter any proprietary notices, copyright statements, or branding from any part of the Platform.
15 Warranties & Disclaimers
SwiftPOS warrants that it will use commercially reasonable efforts to:
- Maintain the Platform in a generally operational state during your subscription period;
- Notify you of planned maintenance downtime with at least 24 hours’ advance notice where practicable;
- Implement the security measures described in our Privacy Policy to protect your Merchant Data.
EXCEPT AS EXPRESSLY SET OUT ABOVE, THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. To the maximum extent permitted by Nigerian law, we disclaim all other warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free from security vulnerabilities at all times.
16 Limitation of Liability
To the maximum extent permitted by applicable Nigerian law, Nura Mustapha Technologies Limited and its directors, employees, agents, and licensors shall not be liable to you for:
- Any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of revenue, loss of goodwill, or data loss;
- Physical inventory shrinkage, cashier theft, or financial losses arising from incorrect permission configurations on Staff User accounts;
- Errors in cash count variances entered during End-of-Day reconciliation by your staff;
- Business decisions made based on AI assistant outputs, profit reports, or stock forecasts generated by the Platform;
- Data loss arising from offline transaction failure to synchronize as described in Section 10;
- Any damages arising from third-party service interruptions (payment gateways, SMS providers, internet service providers);
- Unauthorized access to your account arising from your failure to secure credentials.
Where liability cannot be fully excluded by law, our total aggregate liability to you for any claims arising under these Terms shall not exceed the total subscription fees paid by you in the three (3) months immediately preceding the event giving rise to the claim.
17 Indemnification
You agree to defend, indemnify, and hold harmless Nura Mustapha Technologies Limited and its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising from or relating to:
- Your breach of these Terms;
- Your violation of any applicable Nigerian law or third-party rights;
- Data you submit, upload, or process through the Platform, including any customer data;
- Any claims brought by your Staff Users, customers, or third parties in connection with your use of the Platform.
18 Service Availability & Maintenance
We target a monthly uptime of 99% for the SwiftPOS application during standard business hours. This target excludes:
- Scheduled maintenance windows (communicated in advance);
- Downtime caused by third-party infrastructure providers (cloud hosting, CDN, payment gateways);
- Force majeure events including power outages, natural disasters, civil unrest, or telecommunications failures;
- Downtime caused by Merchant actions that adversely affect platform stability.
Service interruptions do not entitle Merchants to fee refunds or credits unless otherwise agreed in writing with SwiftPOS management.
19 Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction in Nigeria.
Before initiating legal proceedings, the parties agree to first attempt resolution through good-faith negotiation. If a dispute cannot be resolved within 30 days of written notice of the dispute, either party may pursue formal legal remedies.
20 Amendments to These Terms
We reserve the right to amend these Terms at any time. When we do so, we will:
- Update the “Last Updated” date at the top of this page;
- Provide in-app notification to all logged-in Merchant administrators at least 14 days before material changes take effect;
- Send an email notice to the primary account holder.
Your continued use of the Platform after the effective date of any amendment constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must cancel your subscription before the effective date.
21 Entire Agreement & Severability
These Terms, together with our Privacy Policy and any applicable Plan-specific terms communicated at checkout, constitute the entire agreement between you and Nura Mustapha Technologies Limited with respect to the SwiftPOS Platform and supersede all prior agreements, representations, and understandings.
If any provision of these Terms is found to be invalid, unlawful, or unenforceable under applicable Nigerian law, that provision shall be deemed severed from the remaining Terms, which shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely approximates the intent of the original.
No waiver of any term or right by either party shall be effective unless made in writing. A waiver of a breach of any term does not constitute a waiver of any subsequent breach.
